These Terms of Service ("Terms") govern your access to and use of M365Assessments, including m365assessments.com and app.m365assessments.com (the "Service"), provided by [Company legal name] ("we", "us"). By signing in to or using the Service, you agree to these Terms on behalf of the organization you represent ("Customer", "you").
1. The Service
M365Assessments assesses the security and configuration of Microsoft 365 tenants using read-only Microsoft Graph access granted by each tenant's administrator, and produces reports and recommendations. Features marked "coming soon" are not part of the Service until released.
2. Accounts and workspaces
- You sign in with a Microsoft Entra ID work or school account. Your first sign-in creates a workspace for your organization.
- You're responsible for the people you invite to your workspace, the roles you assign them, and all activity in your workspace.
- Keep your Microsoft account secure and tell us promptly about any unauthorized use.
3. Authorization to assess tenants
You may only connect and assess Microsoft 365 tenants that you own or are expressly authorized to assess. If you're a managed service provider, you represent that each customer has authorized you to assess its tenant, and that the consent granted in that tenant was given by an administrator with authority to do so. You're responsible for how you use and share reports with your customers.
4. Plans, quotas and fees
- Each plan includes a number of tenants and a monthly assessment allowance, as described on our pricing page or in your order. Additional assessments may be purchased.
- Fees are billed in advance, monthly or annually, and are non-refundable except as required by law or stated in your order. [Confirm payment terms, taxes, late payment.]
- Early-access prices may change for new customers. We'll give existing customers at least [30] days' notice of price changes that affect them.
5. Acceptable use
You won't: (a) use the Service to access a tenant without authorization; (b) attempt to access other customers' data or probe, scan or test the Service's vulnerabilities except under our responsible disclosure policy; (c) reverse engineer or interfere with the Service; (d) resell the Service except as permitted for MSPs delivering reports to their own customers; or (e) use the Service in violation of law or Microsoft's terms.
6. Customer data
You retain all rights in data collected from your tenants and in your reports ("Customer Data"). You grant us a limited license to process Customer Data only to provide, secure and support the Service. Our handling of personal information is described in our Privacy Policy [and Data Processing Addendum].
7. Our intellectual property
We own the Service, including its software, assessment logic, report templates and branding. Reports generated for you may be shared with your organization and, for MSPs, with the customer whose tenant was assessed.
8. Assessments are informational
Reports reflect configuration visible through the granted permissions at the time of the run, measured against general best practice. They don't guarantee that a tenant is secure or compliant, and they aren't a substitute for professional judgment. You're responsible for decisions and changes you make based on a report.
9. Warranties and disclaimers
We'll provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Each party's total liability arising out of these Terms is limited to the fees paid or payable by you in the [12] months before the event giving rise to the claim. [Counsel to confirm carve-outs.]
11. Term, suspension and termination
These Terms apply while you use the Service. Either party may terminate for material breach not cured within [30] days of notice. We may suspend access to protect the Service or other customers. On termination, you can request export or deletion of your Customer Data within [30] days, after which we'll delete it in line with our Privacy Policy.
12. Changes
We may update these Terms. We'll post the updated version here and notify workspace owners of material changes. Continued use after changes take effect means you accept them.
13. Governing law
These Terms are governed by the laws of [State/Country], and disputes will be resolved in the courts of [Venue].
